The late-2024 uptick in global M&A hinted at a market ready to turn a corner. Activity was still below the highs of previous years, but green shoots of confidence were emerging.

Our global transaction report from MHA UK flagged signs of cautious optimism, with dealmakers beginning to look past the turbulence. A stabilising macro picture was giving investors reason to believe.

Now, as we near the halfway mark of 2025 — the big question is: did the optimism hold up?

The UK mid-market M&A scene is certainly shaping up to be bold and busy in 2025, with private equity and strategic buyers leading the charge. Innovation, ESG and agility remain key for companies looking to stand out and seize opportunities.

But it’s not all smooth sailing.

Trump's tariffs have stirred up fresh uncertainty, triggering volatility and slowing down deal momentum, especially for lower mid-market players. Rising import costs are squeezing margins, dampening valuations and prompting some to hit pause on transactions.

Still, where there’s disruption, there’s opportunity.

Businesses that navigate the shifting trade landscape or are positioned for turnaround could prove attractive targets. And for buyers with dry powder, distressed assets may offer compelling value. Despite the headwinds, cross-border M&A remains firmly on the agenda — with international dealmakers ready to move when the moment’s right.
